Terms of Service

These terms govern your use of tracklyst.app and related services (together, "Tracklyst"), operated by Darklight Audio ("we", "us"). By creating an account or using Tracklyst, you agree to these terms.

1. What Tracklyst is

Tracklyst is a sharing and feedback layer for audio files stored in your own Dropbox or Microsoft OneDrive account, plus a set of free browser-based audio tools (BPM tapper, LUFS analyzer, key finder, delay calculator, A/B comparator, artwork compressor). We don't host your audio — it stays in the storage provider you connect.

2. Accounts & storage providers

You need a Dropbox or Microsoft account to use the core app. Your relationship with those providers is governed by their own terms; we're not responsible for their availability, changes, or policies. You're responsible for keeping your storage account secure — anyone with access to it can access files you've connected to Tracklyst.

3. Subscriptions & payments

Paid plans are billed through LemonSqueezy on a recurring basis until canceled. Some features let you sell paid access to individual tracks or downloads, processed through Stripe (including Stripe Connect for payouts to you as a creator) — Stripe's terms govern those payment flows, and payouts are subject to Stripe's own verification and timing. Unless required by law or stated otherwise at checkout, payments are non-refundable. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

4. Free tools

The free browser-based tools (BPM, key, LUFS, delay, A/B, artwork) run entirely client-side and are provided for reference and workflow convenience. They are not a substitute for professional mastering/mixing judgment, and we don't guarantee their measurements (loudness, key detection, tempo, etc.) are error-free.

5. Acceptable use

You agree not to: upload or share content you don't have the rights to distribute; use Tracklyst to harass, spam, or defraud recipients of shared links; attempt to bypass paid-access gates or storage-provider permissions; or interfere with the service's normal operation (scraping, overloading endpoints, reverse-engineering paid features).

6. Content ownership

You retain all rights to the audio, artwork, and other content you share through Tracklyst. We claim no ownership over it. Feedback and comments left by recipients on your shared links belong to you as the project owner for the purpose of using them within the app.

7. Third-party services

Tracklyst relies on third-party providers (Dropbox, Microsoft, Supabase, Groq, Stripe, LemonSqueezy, Resend, Netlify, Google Analytics) to function. See our Privacy Policy for what each one does. We're not liable for outages, data loss, or policy changes on their end.

8. Disclaimer of warranties

Tracklyst is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the service will be uninterrupted, error-free, or that measurements from the free tools will be perfectly accurate.

9. Limitation of liability

To the maximum extent permitted by law, Darklight Audio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of Tracklyst. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold Darklight Audio harmless from claims arising out of your content, your use of the service, or your violation of these terms.

11. Termination

You can stop using Tracklyst and disconnect your storage account at any time. We may suspend or terminate access for accounts that violate these terms or applicable law.

12. Governing law

These terms are governed by the laws of the State of Tennessee, USA, without regard to conflict-of-law principles.

13. Changes to these terms

We may update these terms as the product changes. Material changes will be noted in the changelog. Continued use after a change means you accept the updated terms.
